Description
This book has been acclaimed in the past for its several features, such as comprehensive coverage, exhaustive case law, practice tips, lucidity, etc. In these eight years, since the last edition was released, a sea change has taken place in the field of transfer of shares of listed companies, both as regards law and procedure, thanks to the arrival and stay of depository system. This was indeed a revolution in the Indian stock market and has been responsible to change its face, mainly on account of efforts taken by SEBI.
The present edition of the book has been thoroughly revised, incorporating all changes that have taken place in law and judgments delivered by courts and the Company Law Board. Section 111A has been commented upon and all reported cases have been dealt with in Chapter 15.
Chapter 11, 'Transfer of shares of listed companies', substantially based on now-omitted section 22A of the Securities Contracts (Regulation) Act 1956 has been retained for its historical and reference value.
A significant contribution of this edition is the amplification of Chapter 17 on Depository System. The commentary in the Chapter has been supplemented by the plethora of rules, regulations circulars, guidelines, etc. on Depository.

Dr. K R Chandratre
, presently a Practising Company Secretary, has been in the profession of Company Secretary for over 24 years, before which he worked as a Lecturer in Commerce & Accountancy at R A Podar College of Commerce & Economics, Mumbai for three years. After serving Kirloskar Oil Engines Ltd. for 15 years, his last position being Director (Legal, Secretarial & HR) & Company Secretary, Dr Chandratre entered the practice as Company Secretary.
Dr. Chandratre has an impressive academic background. He holds Master's degree in Commerce, Law degree and Doctorate degree from the University of Pune. He is a fellow member .of the Institute of Company Secretaries of India (ICSI).
Dr Chandratre has secured several academic and professional distinctions and honours. He was the President of ICSI during 1996 and the Vice-President for two years, 1994 and 1995. He was a member of the Working Group on Redrafting of the Companies Act, 1956 constituted by the Government of India in August 1996, to draft a new Companies Act. Dr Chandratre also served as the Chairman of the Committee on 'Delisting of Securities' constituted by SEBI in March 1997, which resulted into a Report submitted to SEBI in December 1997. He was a member of Advisory Committee on Primary Markets of SEBI during 1996. He has been nominated by SEBI as a Public Representative Director on the Pune Stock Exchange and elected as the Chairman of the Board and the President of the Pune Stock Exchange, Pune, India since April 7, 2004. Recently/the SEBI has appointed Dr. Chandratre as a Member of the Expert Group constituted by SEBI in October 2004 under the Chairmanship of Justice Kania to suggest further amendments to the SEBI Act, 1992.
Dr Chandratre has copious writings to his credit. He has so far authored over 700 articles and 18 books on various subjects in the areas of Corporate Laws and Corporate Secretarial Practice. Many of his articles have bagged awards as best articles.
An active participant, Dr Chandratre has so far addressed more than 300 seminars, workshops, conferences and conventions besides contributing papers at the National & International levels, including the First Rotary Conference on 'Harmonisation of Corporate and Taxation Laws in SAAR,C Countries'.
